Pursuant to the provisions of Regulation 30 of SEBI (Listing Regulations and Disclosures Requirements) Regulation, 2015, the Board of Directors at their meeting held today i.e. 30th January, 2026 has approved the following:\r\n1. Re-appointment of Mr. Gautam D. Shah (DIN: 00397319) as the Managing Director of the Company for a further term of consecutive 3 (three) years w.e.f. 1st July, 2026 to 30th June, 2029.\r\n2. Re-appointment of Mrs. Bela G. Shah (DIN: 01044910) as the Whole-Time Director and Chief Financial Officer of the Company for a further term of consecutive 3 (three) years w.e.f. 7th February, 2026 to 6th February, 2029.\r\nFurther, the aforementioned re-appointments shall be subject to the approval of the shareholders at the ensuing General meeting of the Company.\r\nThe details as required under Para A of Part A of Schedule III of Listing Regulations read with SEBI Master Circular No SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024 (as amended) are enclosed as 'Annexure - A'.
