Veranda Learning Solutions Limited has received shareholder approval for its proposed demerger scheme, following a meeting conducted under the directions of the National Company Law Tribunal (Chennai Bench).

The approved scheme involves spinning off the company’s commerce vertical into J.K. Shah Commerce Education Limited, allowing it to function as an independent and focused entity.

The move aims to streamline Veranda’s group structure, enhance strategic focus across business segments, and unlock long-term shareholder value. It also sets the stage for a potential separate listing of the commerce business.

The resolution was passed with the requisite statutory majority through a fully digital voting process, reflecting strong shareholder support.

With this approval in place, the scheme will now move forward for final regulatory clearances, including sanction from the NCLT and other relevant authorities.
