To consider and approve the proposal for increase in the Authorized Share Capital of the Company, subject to the approval of the shareholders and other statutory/regulatory approvals, as may be required.\r\n2. To consider alteration of Clause V of the Memorandum of Association of the Company consequent upon the increase in the Authorized Share Capital.\r\n3. To approve the Postal Ballot Notice and related documents for obtaining the approval of the shareholders for the above matters.\r\n4. To appoint the Scrutinizer for conducting the Postal Ballot process.\r\n5. To fix the cut-off date, remote e-voting period, calendar of events and authorize officials for completion of the Postal Ballot process.\r\n6. To consider and transact such other business as may be placed before the Board with the permission of the Chair.\r\n
