With reference to the captioned matter and in compliance with the Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended from time to time, the Board of Directors of the Company at their meeting held today, i.e. on 18th January, 2024, have, inter alia, discussed and approved the following:\r\n\r\n1. Proposed fund raising by way of an issuance of equity shares of face value of ? 10/- each of the Company to its eligible equity shareholders on a rights basis ('Rights issue') for a value not exceeding ? 20 crores, subject to receipt of necessary approvals\r\n\r\n2. Constitution of a Special Committee of Board of Directors, in the name and style of 'Rights Issue Committee'
